Terms of Service

Welcome to Gyrodile Media ("Gyrodile", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, the Gyrodile Growth Engine, the AI Production Studio, and any other related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. The Services

Gyrodile provides growth marketing, SEO/GEO consulting, and AI-driven creative production services. Our "7-day teardowns" and "Free Organic Audits" are provided at our sole discretion and do not constitute a binding obligation to provide ongoing services unless a formal Statement of Work (SOW) or Master Services Agreement (MSA) is signed.

2. Intellectual Property & AI Models

• Client Assets: You retain all ownership rights to the brand assets, SKUs, logos, and guidelines you provide to us. You grant us a limited, non-exclusive license to use these assets solely for the purpose of providing the Services to you.
• Final Deliverables: Upon full payment of applicable fees, you own the final creative variants (images, videos) delivered to you.
• AI Pipelines & Models: Gyrodile retains all ownership rights to our proprietary AI pipelines, custom workflows, and prompt structures. Custom LoRA models trained specifically on your SKUs are isolated and will not be used for other clients, but the underlying training methodology remains the intellectual property of Gyrodile.

3. Confidentiality

We understand the sensitive nature of your ad account data and performance metrics. Both parties agree to maintain the confidentiality of any proprietary information shared during audits, teardowns, or ongoing engagements. We will not disclose your ROAS, CAC, or ad spend data without your explicit permission, except in anonymized, aggregated formats (e.g., our "Anonymized 8-page diagnosis").

4. Limitation of Liability

While we use advanced data and AI to optimize performance, marketing is inherently unpredictable. Gyrodile does not guarantee specific results, ROAS, or search rankings. IN NO EVENT SHALL GYRODILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction specified in your MSA (Dubai, Singapore, or USA), without regard to its conflict of law provisions. If no MSA exists, these Terms are governed by the laws of Singapore.

6. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this site. Your continued use of the Services after such modifications constitutes your acknowledgment and acceptance of the updated Terms.
